Internet Merchants Association – Mystery, Intrigue and All The Presidents Men

To tell the truth, writing about the IMA has not been on the top of my "to do" list of late...  What with personal directives (back to school for the kids, family birthday(s) and a little Hurricane/Tropical Storm preparation) the Internet Merchants Association just has not been on the top of my mind.

Fortunately, or unfortunately as the case may be, people who become interested in the articles we write as blogger journalists do not always keep within our personal schedules when it comes to "adding to the conversation".

Over the course of the IMA story I have received many notes, comments, phone calls and letters from members and non-members alike.  No other issue has sparked as much long term attention here at the TA Journal. Personally I think the story has run its course, yet since no one else seems to be covering the IMA, I have continued to do so.

The story has been told, as much as an outside entity can tell anyway...  Any further information must come from the actual financial records and from deep inside the organization.  I have offered to publish the views from inside the IMA but as yet have received no response from anyone in authority.

The members of IMA who were uncomfortable with how the organization has been run, have left or were shown the door.  The members who remain, apparently are fine with the state of affairs and are happy with whatever benefits they perceive are forthcoming from being a member of the IMA.

Internet Merchants Association Members – You Decide

We have given the IMA story a bit of a breather for the last several days.  This respite is not due to a lack of information but has been more of a calculated break from the coverage, to allow tempers a chance to cool.

At this time, I would like to ask the readers...

Are you "over" the IMA story?

Or, on the other hand, (especially former members) would you appreciate reading more information about the IMA?

I ask these questions because we have been presented with multiple streams of data since our last article about the IMA (and  am also convinced even more information is available) concerning the internal problems at the Internet Merchants Association. Some people are certainly interested "behind the scenes" or we would not be getting this constant stream of data.

When asked to to the show, Larry readily agreed with one caveat...

I'll be happy to do it.  When you announce it, I want it to be made clear that I am only agreeing because Steve canceled.  The current and former membership still have questions, and deserve answers.  Since I am no longer a member through the actions of the existing Board of Directors, I am not bound by confidentiality, and will be happy to answer any questions regarding what happened up until my membership was removed on Monday.  I would certainly prefer that Steve participated, and if he changes his mind again and decides to participate, I will then leave it up to him whether I should participate or not.

I think Larry is indeed correct, the membership does deserve answers.

Since Larry was a member of both the Board of Directors and the Ethics Committee, I believe he can shed light on numerous topics which the rank and file members of the IMA have questions about.

Larry knows what happened, and when it happened.  I have spoken with Larry at length and find him to be an honest and above board individual who simply devoted a significant amount of time to do his share at the IMA.

His summary dismissal came after he purportedly brokered a deal in which all of the current board members, including himself, would resign and offer the membership a chance to elect a new board.  This deal was completely reversed without Larry's input or knowledge on Sunday, he resigned from the board but not the organization. The next day, Larry was removed without his consent from the organization as a whole, without a grievance or explanation.

It will certainly be interesting to hear what Larry Phillips has to say during next Saturday's eBay and Beyond Radio Show!

Breaking News – Internet Merchants Association President Backs Out of Confirmed Interview

As reported here on the Trading Assistant Journal, Steve Grossberg - President of the IMA, had agreed and confirmed with Dave White of the eBay and Beyond Internet Radio Program to an interview.  This interview was to occur next Saturday July 12, 2008.

Mr. Steve Grossberg, Internet Merchants Association President and Treasurer, has just informed the eBay and Beyond radio program of his decision to back out of this live radio talk show interview.  Dave White was notified of this decision via email and Dave has given the Trading Assistant Journal permission to reprint this short notice.

I am going to have to back out of this interview. Right now my time and energies are geared toward #1 my family, #2 my business, and #3 getting IMA moving forward. We already have an open dialouge and interactive dialouge in place for IMA members to voice their opinions and be heard.

As will be commented here and elsewhere, this is not an unexpected development.  I will say I think it is a mistake to back away from an opportunity to offer a different side of the story.  This is a move which would not have been deemed advisable by any top notch PR firm or advisor.

Mr. Grossberg's comment in the letter above, stating there is already a place for members to voice opinions seems very empty, especially if Mr. Grossberg himself will remove any members from the Association who dare to voice a differing or dissenting opinion from his own, as has been reported by numerous sources.

Dave White would like to extend an offer for any of the remaining members of the Board of Directors at the IMA to fill in for Mr. Steve Grossberg.  Former members of the Board or Ethics Committee are also welcome.  The show will still be scheduled and the topics will certainly center around the recent implosion of the IMA governing body.

IMA MEMBERS – WHAT SHOULD YOU DO NOW?

This blog is addressed to the many members of the IMA.

First, I want to thank Scott Pooler for giving me the opportunity to reach out to the members of the IMA.

Second, I want you to know that my heart is with you.  I wish I could do more to help you cope with the issues that you are currently dealing with.  But as you know, I was one of the six or more people who were summarily dismissed from the organization Monday morning for expressing my outrage at the actions of the three remaining members of the Board of Directors (BOD).

Next, I want you to know that I would have preferred to keep this type of information in-house, but the fact that my membership was revoked leaves me no alternative.

Last, I want to make sure you know that I will not quote any internal posts, or documentation.  I will do nothing wrong in this blog.  I will simply provide you fact, along with some opinion.

Any legal action about what I write here will just be another example of the bullying and manipulation that is being conducted by the current Board.  And it will be an inappropriate use of the funds within your treasury.

So with that in mind, what should you do?

Actually, the more operative question is what CAN you do?  The truth is... not a lot.

The existing BOD has ironclad control.  They are changing bylaws as the need arises. They are firmly entrenched, with a purpose of stifling the ability for any member to do anything other than fall in lockstep behind the leader.

There are SOME things you can do to make it more difficult for the current board to get their way and possibly wrest control away from them.

First – Challenge Steve Grossberg - President of the IMA.

The Grossberg Communications Stifling Tactic (GCST) #1 is to state that something is illegal.  Or that everything must be done in compliance with the current by-laws or Florida Corporate law.  When he does that, ask for the specific bylaw or Florida statute.  While he’s correct in that you do need to stay in compliance, GCST1 assumes that you will just accept his word, and drop the issue.  Don’t do that.
While he will sometimes be able to do quote a statute or law, oft times, you will receive no response, because he can’t back up his words with the applicable statute.  Or he will respond by saying something like, “this statute is vague, but my interpretation is....”.  See for yourself how he reacts to those types of challenges.  Frankly, it may have a positive impact on suppressing GCST1, because if he knows he is going to be challenged, he may think twice before he says anything about the law.  However, be prepared for no response at all.

Second – Demand Change!

GCST2 is quote the bylaws.  But we have just seen how the BOD can change the bylaws on the fly.  It took them 15 minutes on Sunday night to change the rules associated with conducting a special meeting.

The current BOD can act just as quickly to change the bylaws requiring the election of all new Board members.

They can do this if they want.  But they won’t.  Because they can’t.  Because if they do, they will lose control.

The Current BOD can act quickly to change the bylaws to appoint an independent committee to review the bylaws, and make appropriate changes, to be voted on by the membership.

Third – demand accountability.

Ask for the cost of expenditures like attorneys fees.  Find out how they are spending your money.  You are entitled to a full and complete accounting.

Fourth – Contact the Internal Revenue Service.

There are several things you want from them.

IRS Form 1024. This document is available to you under the Freedom of Information Act (FOIA).  The IRS requires the organization to maintain this on file, so you can ask the BOD first, but you will probably be stonewalled.   This document contains very important information, such as what happens to monies, properties and assets should the organization be dissolved, as well as the *original* by-laws at the time the Form 1024 was signed.  The IRS is supposed to be notified of all changes.  The current BOD may be in violation if they have not done that.

Ask questions at the IRS.  Ask if one of the IRS's requirements for awarding and maintaining a 501(c) designation, is for the organization to have a separately elected  body of members, independent of the elected officers/directors, whose purpose is to oversee and ensure compliance by the elected officers/directors, of all duties and responsibilities.  This will force the check and balance to be implemented that I fought so hard for, and was the cause of my resignation from the BOD. The current concept of a Board of Advisors is flawed.  They would simply be an Advisory group.  The Board will be able to accept or reject that advice, based on whether it complies with their agenda.

Next, ask if it is acceptable that the organization's address of record is the personal residence of a member.  These activities may provide clear evidence of malfeasance by the BOD.

Other thoughts.

I strongly suggest that you use the online vote strictly as a barometer of the feelings of the members, which the current Board clearly does not care about.  Attempting to make this vote hold up will only result in a tangled and costly litigation, as there are many twists and turns.  Take me for example, I registered and voted on Sunday night, when I was still a member.  But as of the next morning, I was no longer a member.  So should my vote count or not?  Don’t waste your money by giving it to lawyers.

Finally, you have several days left to decide whether to accept their refund offer or stay within the organization.  My refund was $21.  I would assume that most of you will have the same size refund, so this is not a financial decision.  It’s a personal decision that you should each weigh carefully.  Whether you are willing to accept the current leadership should be a strong factor in that decision.  Another factor to be weighed is should the organization continue to exist?  Is the cost of allowing that to happen worth it?

The cost is allowing this Board to do what they want.  They will choose new Board members without your participation.  They will change the bylaws without your participation.  They will make all moderation decisions without your input.  The benefit is keeping together some of the group that acted synergistically to improve each other’s businesses.

In closing...

For those of you that were salivating, waiting for me to say something that could be used against me in a court of law, sorry if I disappointed you.  Your time would be better spent following some of the above suggestions.  To all of those people who have expressed their gratitude and support, I thank you from the bottom of my heart.  I truly miss you, and hope I will be able to continue our relationship in other ways and in other places.

I have been increasingly called upon to evaluate and publish different accounts of what has been going on both internally and externally at the Internet Merchants Association.

The more I read, the more information I am sent from various current and former members, the more I am starting to believe that those who have left or who have been summarily removed from the association, may be better off.

The story continues to blossom into a full fledged soap opera of amazing events followed by inconceivable decisions.  Members expelled, Board members resigning, ethics committee ignored, suspensions lifted, suspensions imposed, rules violations, rules changes... IMA Membership Revoked – As WAS CEO Debbie Levitt Say's in blog post

While reportedly awaiting an apology from the BOD at the Internet Marketing Association to which she belonged, Debbie Levitt posted on her blog today that she has been summarily expelled from the IMA.

Without a warning first. Without any correspondence. Without any suggestions. Without a note from moderators.

Apparently Debbie received a partial refund via PayPal of her $599.00 Gold business membership package from the IMA. 

Readers will recall that Debbie Levitt of AS WAS became involved in a war of words between herself and IMA President Steve Grossberg on the IMA discussion forums.  Both sides report issues such as slander and IMA rules violations and it is our understanding that both parties were suspended from posting on the discussion forum for a period of days.  We know from Debbie Levitt's blog that she apologized for her infraction but we have no reports of Mr. Grossberg following suit.

Debbie Levitt is claiming several instances of slander and damage to her professional stature, she is indicating she will pursue legal remedy for same. 

On another note, a former board member at IMA recently posted a comment on the Trading Assistant Journal which indicated she advised the board to secure insurance against such actions but she was ignored.  Exposure to action is one of the main detraction's from becoming a board member in any organization. If the organization does not protect itself, or its officers from litigation it has been reported by other sources the legal exposure could reach personal and business assets.

We certainly hope the situation will not reach this level of litigious action, but if the Florida Attorney General is called to investigate, one could only imagine the numerous civil suits which could follow.
